We seek individuals or entities interested in investing in hedge funds within the U.S. who qualify as accredited investors. This designation ensures investors have the financial expertise or resources to assess investment risks and bear potential losses. As outlined by the U.S. Securities and Exchange Commission (2024, September 19), there are multiple criteria through which individuals or entities may qualify as accredited investors, detailed below.

Financial Criteria

• Net worth over $1 million (excluding primary residence) individually or jointly with a spouse/partner.
• Annual income over $200,000 individually or $300,000 with a spouse/partner for the past two years, with expectations of the same in the current year.

Professional Criteria

• Holders of specific licenses: Series 7 (General Securities), Series 65 (Investment Adviser), or Series 82 (Private Securities Offerings).
• Directors, executive officers, or general partners (GP) of the securities issuer.
• “Family clients” of qualifying family offices.
• “Knowledgeable employees” of private funds.

Investment and Asset Thresholds

• Entities owning investments exceeding $5 million.
• Entities with assets over $5 million, including corporations, partnerships, LLCs, trusts, 501(c)(3) organizations, employee benefit plans, and family offices.

Ownership and Registration

• Entities where all equity owners are accredited investors.
• Registered or exempt investment advisers and broker-dealers.

Financial Institutions

• Banks, insurance companies, registered investment companies, business development companies, or small/rural business investment companies.
